Service Agreement

This Service Agreement (“Agreement”) sets out the terms under which Health and Safety Advice (“we”, “us”, “our”) provides consultancy and related services to the Client (“you”, “your”).

By engaging our services, you agree to the terms below.

1. About Us

We provide health and safety consultancy, training, documentation, and compliance support to UK businesses.

2. Scope of Services

We will provide the services agreed with you in writing, which may include:

  • Health and safety consultancy
  • Risk assessments
  • Policy development
  • Site inspections
  • Training and toolbox talks
  • Compliance audits
  • Ongoing advisory support

The exact scope will be confirmed in a written proposal, quotation, or email.

Any additional work requested outside the agreed scope may incur additional fees.

3. Client Responsibilities

You agree to:

  • Provide accurate information needed to deliver the services
  • Ensure access to premises, staff, and documentation where required
  • Follow the advice and recommendations provided
  • Comply with all relevant health and safety laws and regulations
  • Notify us of any significant changes to your business or operations

We are not responsible for delays or failures caused by your failure to provide required information or access.

4. Fees and Payment Terms

Fees will be confirmed in writing before work begins.

Unless otherwise agreed:

  • Invoices are payable within 14 days
  • Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998
  • Travel, accommodation, and specialist equipment may be charged separately

We reserve the right to suspend services if invoices remain unpaid.

5. Term and Termination

This Agreement begins when you accept our proposal or instruct us to proceed.

Either party may terminate the Agreement:

  • With 30 days’ written notice, or
  • Immediately if the other party commits a serious breach

Upon termination:

  • You must pay for all work completed up to the termination date
  • Any ongoing access to documents, templates, or members‑only content may end

6. Intellectual Property

All documents, templates, training materials, and resources we provide remain our intellectual property unless otherwise stated.

You are granted a non‑exclusive licence to use them within your business only.

You may not:

  • Share them externally
  • Sell or redistribute them
  • Claim ownership or authorship

7. Confidentiality

Both parties agree to keep all confidential information private, including:

  • Business information
  • Staff details
  • Operational processes
  • Documentation and assessments

Confidentiality does not apply where disclosure is required by law.

8. Limitation of Liability

We will deliver services with reasonable skill and care.

However, to the fullest extent permitted by law, we are not liable for:

  • Loss of profits
  • Business interruption
  • Loss of data
  • Indirect or consequential losses

Nothing in this Agreement limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any rights you have under UK law

9. Data Protection

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018.

10. Insurance

We maintain appropriate professional indemnity and public liability insurance. Evidence of cover is available upon request.

11. Force Majeure

  • Strikes
  • Government restrictions

12. Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes will be handled exclusively by the courts of England and Wales.
